TAMARACK FUNDS TRUST PROXY VOTING POLICIES AND PROCEDURES

I. Statement of Principle
The Trust seeks to assure that proxies received by the Trust or its agent are voted in the best interests of the Trust’s shareholders and has accordingly adopted these policies and procedures on behalf of each of its funds or series (the "Funds"). A complete listing of the Funds can be found in the Trust's Statement of Additional Information.
II. Proxy Voting Policy and Procedures
The Board of Trustees has adopted specific proxy voting policies and procedures, which can be found in the Trust's Statement of Additional Information, to guide the exercise of voting authority with respect to each Fund. The Board of Trustees reviews and re-affirms these policies and procedures on an annual basis and at such other times as it may determine.
III. Direction to Custodian
The Trust has directed Wells Fargo Bank, N.A. (the "Custodian"), as custodian of the assets of each Fund, to vote proxies on behalf of the Funds according to the proxy voting policies and procedures expressly adopted by the Board of Trustees. The Custodian has been further directed to solicit and vote in accordance with the direction of the Trust on any proxy issue not clearly addressed by the proxy voting policies and procedures.
IV. Recordkeeping
The Trust will maintain (or cause the Custodian or another service provider to maintain) all records and materials related to proxy voting decisions and the proxy voting process in accordance with applicable rules and regulations under the Investment Company Act of 1940, as amended.
